These General Terms apply to Systems Studio quotations, orders, professional services, products, subscriptions, digital platforms and client workspaces unless a signed agreement states otherwise.

1. Customers
Systems Studio may serve professional customers and private consumers. Mandatory consumer rights remain unaffected.
2. Contract formation
Website information is generally an invitation to request a quotation or place an order. A contract is formed when Systems Studio expressly accepts the order, confirms the service, or begins performance under an accepted quotation.
3. Scope and hierarchy
The accepted quotation, order confirmation, project brief, written scope and any product-specific terms take priority over these general terms where they conflict.
4. Prices and taxes
Consumer prices must be presented including applicable VAT before the order is finalized. Professional quotations may show prices excluding VAT where clearly stated. Additional work requires written approval or another documented instruction.
5. Payment
Deposits, staged payments, subscriptions and final balances are due as stated in the quotation, checkout or invoice. Work may be paused where an undisputed payment remains overdue.
6. Customer responsibilities
- Provide accurate and complete information.
- Supply lawful files and necessary permissions.
- Review assumptions, dimensions and project constraints.
- Protect account and API credentials.
- Promptly report errors or security concerns.
7. Delivery and performance
Dates are estimates unless expressly guaranteed. Systems Studio is not responsible for delay caused by missing client information, third parties, authorities, force majeure or circumstances outside reasonable control.
8. Intellectual property
Pre-existing software, templates, methods, libraries and know-how remain the property of their respective owner. Rights in bespoke deliverables are governed by the accepted quotation or contract. Full transfer of intellectual property requires express written agreement and payment in full.
9. Confidentiality
Each party must use confidential project information only for the agreed purpose. Additional NDA obligations may apply to isolated project workspaces or sensitive evidence.
10. Liability
Nothing excludes liability that cannot legally be excluded. Subject to mandatory law, liability will be assessed in relation to the agreed scope, verified inputs, foreseeable loss and any specific professional agreement or insurance conditions.
11. Suspension and termination
Access or work may be suspended for security threats, unlawful use, material breach or non-payment. Consumer cancellation and withdrawal rights are addressed in the dedicated policies.
12. Applicable law and disputes
Belgian law applies, subject to mandatory consumer protections. Parties should first attempt good-faith resolution. Any court or dispute-resolution provision must respect mandatory jurisdiction rules applicable to consumers.
